The agreement between you and Kairova Wellness Private Limited covering use of valyova.com and the Valyova Protocol membership. Read together with the Refund & Exchange Policy and the Data Privacy Policy.
Kairova Wellness Private Limited, a company incorporated under the laws of India (CIN: U46497MH2026PTC471272) having its registered office at 1st Floor, 104, T-6 Emerald, Isle, Saki Vihar Road, Mumbai, Maharashtra, 400072, India (“Valyova”, “Company”, “we”, “us”, “our”), owns and operates the website valyova.com (the “Website”) and offers the Valyova Protocol membership (the “Membership”, “Protocol”) described in these Terms and Conditions (“Terms”). As a user of the Website or purchasing a Membership (“you”, “your”, “Member”), you are contracting with the Company through these Terms.
These Terms, together with the Refund & Exchange Policy and the Privacy Policy (together, the “Policies”), govern your use of the Website and your Membership. By accessing the Website or purchasing a Membership, you acknowledge that you have read and agree to be bound by these Terms and the Policies, whether or not you have read them in full. If you do not agree, please do not use the Website or purchase a Membership.
Valyova may amend or revise these Terms at any time by uploading a revised version on the Website, with or without prior notice. The revised Terms take effect immediately on upload. Your continued access to the Website or use of your Membership after such upload constitutes acceptance of the revised Terms. The version of these Terms in effect at the time you place an order will govern that order.
Valyova reserves the right to refuse service and/or terminate accounts without prior notice if these Terms are violated or if Valyova decides, in its sole discretion, that it would be in its best interest to do so. You are solely responsible for all content that you upload, post, email or otherwise transmit via the Website. The information provided to us shall be maintained by us in accordance with our Privacy Policy.
Capitalised terms used but not defined in these Terms have the meaning given to them in the Refund & Exchange Policy or the Privacy Policy, as applicable.
You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872 to purchase a Membership. If you are a minor, you may browse general information on the Website only under the supervision of a parent or legal guardian; Valyova does not knowingly onboard minors as Members.
You must provide true, current and complete information at every stage of the Membership journey, including in the VPD. Physician Triage is conducted on the basis of what you disclose, and incomplete or inaccurate disclosure may affect your safety and the validity of your clearance.
The Website and the Protocol are directed at users in India, and the AM/PM sachets are currently offered for delivery within India only. Valyova makes no representation that the Website or the Protocol are appropriate for use outside India; if you access the Website from outside India, you do so on your own initiative and are responsible for compliance with local law.
If you know or have reasons to believe that the security of your account has been breached, you should contact us immediately at the ‘Contact Information’ provided below. If we have found a breach or suspected breach of the security of your account, we may require you to change your password temporarily or permanently block or suspend your account without any liability to Valyova.
The Protocol, and information provided including consultations, blogs, and other materials are for informational purposes only and do not constitute medical advice, diagnosis, or treatment. Our Protocol(s) are not intended to treat, cure, or prevent any disease. They are not a substitute for professional medical advice from your doctor or healthcare provider. If you are taking medication, or have an existing medical condition, consult your physician before using our AM/PM sachets.
If you experience any adverse reactions after using the AM/PM sachets, discontinue use immediately and seek medical attention.
We provide personalized product recommendations based on the information you share through our Website and VPD. However, if you have a recurring or previously diagnosed health concern, or are on prescription medication, seek medical advice from a qualified healthcare professional before making dietary or lifestyle changes.
While we make every effort to ensure the accuracy of medical information on this platform, we do not guarantee that it reflects the most up-to-date research. We understand the importance of safeguarding your personal information and we have formulated a Privacy Policy, to ensure that your personal information is sufficiently protected. Apart from these Terms, the Privacy Policy shall also govern your visit and use of the Website. Your continued use of the Website implies that you have read and accepted the Privacy Policy and agree to be bound by its terms and conditions. You consent to the use of personal information by Valyova in accordance with the terms of and purposes set forth in the Privacy Policy. The same may be subject to amendment from time to time at the sole discretion of Valyova.
The Protocol is a physician-supervised nutraceutical protocol intended to support everyday vitality and quality of life. It is not a medicine and is not intended to diagnose, treat, cure or prevent any disease. If you have a health condition, take medication, or have any concern about suitability, we encourage you to consult your treating physician and to share this during your Valyova health review.
Individual responses to nutraceutical ingredients can vary. Physician Triage and the biomarker panels described in Clause 7 are designed to assess suitability for you specifically, but they do not replace your relationship with your own treating physician.
Follow the consumption directions provided with your Membership at all times, and do not exceed the recommended dosage unless advised otherwise by your physician. Store your AM/PM sachets as directed on the packaging, and keep them out of reach of children.

The specific inclusions, number of biomarkers and number of physician reviews vary by plan, as set out on the Membership Plans page at the time of your purchase.
Every Member is reviewed by a Valyova empanelled physician before any product is dispatched, based on the VPD and Day 0 biomarkers together, resulting in:
Placing an order and completing payment does not, by itself, guarantee dispatch. Your contract with Valyova for supply of the AM/PM sachets is conditional on a Tier 1 or Tier 2 clearance under this Clause. Where a physician directs an add-on requiring a prescription, the prescription will be shared with you via the Concierge. It remains your responsibility to have any prescribed add-on dispensed by a licensed pharmacy in accordance with applicable law.
Each Membership entitles you to utilize the Protocol and the corresponding benefits included in your Membership for the period applicable to the Membership purchased by you (“Membership Period”).
Following expiry of the applicable Membership Period, you shall have the following grace period (“Grace Period”):
During the applicable Grace Period, you may utilise the Protocol and any benefits included in your Membership that remain unused as of the expiry of the Membership Period.
The Grace Period is provided solely to facilitate the utilisation of the Protocol and any unused benefits and shall not constitute an extension or renewal of the Membership, nor does it entitle you to any benefits beyond those included in the Membership originally purchased. No additional benefits shall accrue during the Grace Period.
Any benefits not utilised by the applicable Membership Period and the Grace Period shall automatically lapse and shall not be eligible for carry-forward, credit or refund, except as otherwise provided under the Refund & Exchange Policy.
All prices displayed on the Website are in Indian Rupees (INR) and are inclusive of applicable taxes unless otherwise stated at checkout. Prices are subject to change without notice for future purchases; the price you pay at checkout is the price that applies to your Membership.
Membership fees are one-time payments. There is no recurring or automatic billing of any kind currently. Renewal, if you choose to renew, is manual and is arranged through the Concierge, no Membership will be auto-renewed or auto-charged.
Payments are processed through an independent third-party payment gateway supporting UPI, cards, net banking and wallets. Valyova does not store your card or payment credentials. If a payment fails or is not confirmed, your order will not be processed and no Membership will be created.
Valyova endeavours to ensure that the descriptions, images and pricing on the Website are accurate, but does not guarantee that they are complete, current or error-free.
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. If we make a change to or cancel an order, we may attempt to notify you by contacting the email and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.
You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
Prices and availability of the products and services provided or offered on the site are subject to change without prior notice and at the sole discretion of Valyova. Without limiting the generality of Clause 11 (Cancellations, Refunds and Returns) below, if a product is listed at an incorrect price or with incorrect information due to any technical error, Valyova shall have the right, at its sole discretion, to refuse or cancel any orders placed for that product, unless the product has already been delivered. In the event that an item is wrongly priced, Valyova may, at its discretion, either contact you for instructions or cancel your order and notify you of such cancellation.
You may be eligible to upgrade or renew your Membership under different plans and timelines. The applicable process, and whether preferred member pricing is available to you, is set out in FAQ 7 (Upgrades & Renewals) on the Website, which forms part of these Terms and may be updated by us from time to time.
Once dispatched, your AM/PM sachets will be delivered to the address provided at checkout. Estimated delivery timelines will be communicated to you via the Concierge at the time of dispatch.
Risk in the product passes to you on delivery. If your product arrives damaged, defective or tampered with, see the Refund & Exchange Policy for the applicable exchange process.
You will be notified via the Concierge once your Membership is dispatched, together with any available tracking information.
For order containing multiple products, delivery may be made in multiple shipments. As a guide, dispatch typically follows within approximately 7-10 days of order, subject to the Member’s own availability for filling up the VPD (mandatory), scheduling the Day 0 biomarker (mandatory) collection appointment & availability for the physician consultation (mandatory). The estimated delivery times are indicative, hence there may be some unforeseeable delays, which are beyond our control. In the event, the Company is unable to deliver the Product within the estimated delivery date, due to any reason, you will be notified via the Concierge, the reason for such delay. You will have the right either to cancel the ordered product or wait for the product to be delivered. Please note that your order will be cancelled due to: (i) unavailability of the product ordered; or (ii) at your instructions, in the event of failure to deliver the product on the expected time of delivery by our delivery partners. You agree that Valyova shall not be liable to pay for any damage or loss either direct or indirect owing to such cancellation of the order or delay in delivery.
Refund and exchange eligibility is governed by the Valyova Refund & Exchange Policy, available at valyova.com and linked at checkout, which forms part of these Terms.
All post purchase communication takes place via the Valyova Concierge WhatsApp channel. There is no separate logged-in member portal at this stage. By purchasing a Membership, you consent to receive transactional and Protocol-related messages from Valyova over WhatsApp, including via the WhatsApp Business API.
The Concierge is staffed by trained non-clinical personnel and does not provide medical advice. If you raise health concerns, the Concierge will direct you to seek medical attention or contact your treating physician, and will separately notify your Valyova physician where appropriate. Nothing said by the Concierge should be treated as clinical guidance.
The Concierge may be temporarily suspended without notice, including for maintenance or scheduled downtime. Valyova is not liable for any delay in responding to a query raised over the Concierge.
Records of your communication with the Concierge may be retained by Valyova for quality, safety and record-keeping purposes, in accordance with the Privacy Policy.
The Concierge may be used only for purposes connected with your Membership. You agree not to use it to transmit unlawful, threatening, abusive, defamatory or obscene content, or to solicit business unrelated to your Membership.
Valyova endeavours to ensure that the content of the Website, including descriptions of the Protocol, is accurate and current, but does not warrant that it is complete, reliable or error-free, and may correct, update or remove content at any time without notice. The Website may be temporarily unavailable from time to time for maintenance or for reasons outside Valyova’s reasonable control, and Valyova is not liable for any loss arising from such unavailability.
Except for the Physician Triage, which is conducted by a licensed physician on the basis of your individual VPD and biomarker results, any general wellness or educational information made available on the Website, through the Concierge, or in Valyova’s marketing content, is provided for general informational purposes only. It is not personalised medical advice, does not create a doctor-patient relationship, and should not be relied on as a substitute for consulting your own treating physician.
In addition to other prohibitions as set forth in the Terms, you are prohibited from using the Website or its content:
You are prohibited from violating or attempting to violate the security of the Website, including, without limitation: (a) accessing data not intended for you or logging onto a server or an account which you are not authorized to access; (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (c) attempting to interfere with service to any other user, host or network, including, without limitation, via means of submitting a virus to the Site, overloading, “flooding,” “spamming,” “mail bombing” or “crashing”; (d) sending unsolicited email, including promotions and/or advertising of products or services; (e) forging any header or any part of the header information in any email or newsgroup posting. Violations of system or network security may result in civil or criminal liability; or (f) threatens the unity, integrity, defence, security or sovereignty of India, public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence.
The Website, the Valyova name and marks, and all associated content, formulations, protocols, trade dress and materials (the “IP”) are the property of the Company or its licensors, and are protected under Indian copyright, trademark and other intellectual property laws. No trademark or service mark license is granted in connection with the materials contained on this Website. Access to this Website does not authorize anyone to use any IP in any manner. Marks displayed on this Website, whether registered or unregistered, of Valyova or others, are the intellectual property of their respective owners, and Valyova shall not be held liable in any manner whatsoever for any unlawful, unauthorized use of the IP.
Valyova and its suppliers and licensors expressly and exclusively reserve all the intellectual property rights in all text, programs, products, processes, technology, content, software and other materials, which appear on this Website, including its looks and feel. The compilation (meaning the collection, arrangement and assembly) of the content on the Website is the exclusive property of Valyova and is protected by the Indian copyright laws and International treaties. Consequently, the materials on this Website shall not be copied, reproduced, duplicated, republished, downloaded, posted, transmitted, distributed or modified in whole or in part or in any other form whatsoever, except for your personal, non-commercial use only. No right, title or interest in any downloaded materials or software is transferred to you as a result of any such downloading or copying, reproducing, duplicating, republishing, posting, transmitting, distributing or modifying.
All materials, including images, text, illustrations, designs, icons, photographs, programs, music clips, downloads, video clips and written and other materials that are part of this Website (collectively, the “Contents”) are intended solely for personal, non-commercial use. We also grant you a limited, revocable, non-transferable, and non-exclusive license to create a hyperlink to the homepage of the Website for personal, non-commercial use only. Valyova reserves the right, at any time, without notice, and at its sole discretion, to terminate your license to use the Website and to block and prevent your future access to the Website.
We do not guarantee, represent or warrant that your use of our service will be uninterrupted, timely, secure or error-free. We do not warrant that the results that may be obtained from the use of the service will be accurate or reliable.
You agree that from time to time we may remove the service for indefinite periods of time or cancel the service at any time, without notice to you.
You expressly agree that your use of, or inability to use, the service is at your sole risk.

You will release, indemnify, defend and hold harmless Valyova, and any of its contractors, agents, employees, officers, directors, shareholders, affiliates and assigns from all liabilities, claims, damages, costs and expenses, including reasonable attorney’s fees and expenses, of third parties relating to or arising out of: (a) this Terms or the breach of your warranties, representations and obligations under this Terms; (b) the Website content or your use of the Website content; (c) the products or your use of the products (including trial products); (d) any intellectual property or other proprietary right of any person or entity; (e) your violation of any provision of this Terms; or (f) any information or data you supplied to Valyova. When Valyova is threatened with a suit or sued by a third party, Valyova may seek written assurances from you concerning your promise to indemnify Valyova; your failure to provide such assurances may be considered by Valyova to be a material breach of this Terms. Valyova will have the right to participate in any defense by you of a third-party claim related to your use of any of the Website content or products, with counsel of the Company choice at its expense. The Company will reasonably cooperate in any defense by you of a third-party claim at your request and expense. You will have sole responsibility to defend the Company against any claim, but you must receive the Company’s prior written consent regarding any related settlement. The terms of this provision will survive any termination or cancellation of this Terms or your use of the Website or the Protocol.
The Company will not be deemed in default hereunder or held responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, storm, natural disaster, act of God, war, terrorism, armed conflict, labour strike, lockout, or boycott, any acts of nature labour disputes, floods, lightning, severe weather, shortages of materials, rationing, pandemic or epidemic, inducement of any virus, Trojan or other disruptive mechanisms, any event of hacking or illegal usage of the Website, utility or communication failures, revolution, civil commotion, acts of public enemies, blockade, embargo or any law, order, proclamation, regulation, ordinance, demand or requirement having legal effect of any government or any judicial authority or representative of any such government, or any other act whatsoever, whether similar or dissimilar to those referred to in this clause beyond our reasonable control (“Force Majeure Event”). Further if a Force Majeure Event takes place that affects the performance of our obligations under these Terms, our obligations under these Terms shall be suspended for the duration of the Force Majeure Event.
These Terms are effective unless and until terminated by either you or Valyova.
You may terminate the Terms at any time, provided that you discontinue any further use of this Website. Valyova may terminate the Terms at any time and may do so without notice, and accordingly deny you access to the Website, such termination will be without any liability to the Website.
Upon any termination of the Terms by either you or Valyova, you must promptly destroy all materials downloaded or otherwise obtained from this Website, as well as all copies of such materials, whether made under the Terms or otherwise. Any such termination of the Terms shall not cancel your obligation to pay for the product already ordered from the Website or affect any liability that may have arisen under the Terms.
If any provision or provisions of these Terms shall be held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.
Valyova has appointed a grievance officer to address complaints or concerns regarding the Website or your Membership:
Valyova will acknowledge the receipt of a grievance within 48 (Forty Eight) hours of receipt, provide a substantive response setting out the proposed action points within 7 (seven) days of receipt and will endeavour to fully redress the grievance within 1 (one) month from the date of receipt.
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). We may also, in the future, offer new Services and/or features through the Website (including the release of new tools and resources). Such new features and/or Services shall also be subject to these Terms.
Further, certain content, products and services available via our service may include materials from third-parties.
Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or Services of third-parties.

Valyova may update these Terms from time to time in the manner described in Clause 1. Material changes will additionally be notified to existing Members via the Concierge or by email. Continued use of the Website or Membership after such notice constitutes acceptance of the updated Terms.
These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of India. Neither you nor the Company will commence or prosecute any suit, proceeding or claim to enforce the provisions of this Terms, to recover damages for breach of or default of this Terms, or otherwise arising under or by reason of this Terms, other than in courts located in Mumbai, Maharashtra. By using this Website or ordering products, you consent to the jurisdiction and venue of such courts in connection with any action, suit, proceeding or claim arising under or by reason of this Terms.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force. The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
These Terms and any Policies or operating rules posted by us on this site or in respect to the service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms).
